These Terms of Use (“Terms”) govern your access to and use of the Ethera mobile application, website, and any related content, subscriptions, products, features, and services (collectively, the “Services”).
By creating an account, clicking “I Agree,” clicking “Continue,” downloading the app, accessing the Services, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you do not agree, you may not use the Services.
1. Arbitration Notice
Please read these Terms carefully. Except where prohibited by law, these Terms include an arbitration provision and class action waiver. This means that many disputes will be resolved by binding individual arbitration instead of in court, and that you waive the right to participate in a class action or jury trial, as further described below.
2. What Ethera Is
Ethera provides wellness, educational, self-development, and lifestyle content. This may include affirmations, visualization, subconscious reprogramming content, meditation, hypnosis-style guided audio, subliminals, journaling tools, breathing guidance, relaxation content, and other mindset or personal-growth experiences.
3. What Ethera Is Not
Ethera is not medical care, mental health care, psychotherapy, crisis care, clinical treatment, diagnosis, monitoring, or emergency care.
Nothing in the Services is medical advice or mental health advice. Your use of the Services does not create a doctor-patient, therapist-client, counselor-client, or other clinical relationship.
You are responsible for your own health and personal decisions. Always seek advice from a qualified medical professional or licensed mental health professional regarding any medical or mental health condition.
4. No Emergency Use
The Services are not designed for emergencies and are not a crisis resource.
If you believe you may harm yourself or others, are in immediate danger, or are experiencing a medical or mental health emergency:
call or text 988 in the United States,
call 911 or your local emergency number,
or go to the nearest emergency room.
If you are outside the United States, contact your local emergency services.
5. Health, Wellness, and Safety Disclaimer
Some Ethera content may involve deep relaxation, breathing guidance, emotional processing, suggestion-based audio, visualization, or intense somatic sensations.
Participation is voluntary and entirely at your own risk.
Possible responses may include:
lightheadedness,
dizziness,
tingling,
shaking,
emotional release,
discomfort,
nausea,
anxiety,
panic,
drowsiness,
or headache.
You agree that you will:
participate only in a safe environment,
stop immediately if you feel unwell, overwhelmed, unsafe, or distressed,
not use the Services while driving, operating machinery, in water, or doing anything requiring full attention,
use appropriate volume levels,
and seek professional guidance where appropriate.
6. Contraindications and Medical Clearance
You agree that you will not use sessions involving guided breathing, deep relaxation, hypnosis-style content, or similar practices, or that you will first obtain clearance from a qualified clinician, if you have any condition that could make such practices unsafe, including:
pregnancy, especially high-risk pregnancy,
seizure disorders or epilepsy,
significant cardiovascular conditions,
severe respiratory conditions,
recent stroke or cardiac event,
psychosis, mania, or severe psychiatric instability,
or any condition for which a clinician has advised you to avoid these practices.
This is not medical advice and does not cover every condition. When in doubt, seek professional medical guidance before participating.
7. Assumption of Risk
To the fullest extent permitted by law, you knowingly and voluntarily assume all risks, known and unknown, arising from or related to your use of the Services and your participation in any practices, content, or experiences made available through Ethera.
8. Release of Liability
To the fullest extent permitted by law, you agree to release and hold harmless Ethera LLC and its owners, managers, officers, directors, employees, contractors, agents, affiliates, successors, and assigns from any claims, demands, causes of action, damages, losses, liabilities, costs, and expenses, including attorneys’ fees, arising out of or relating to:
your use of or inability to use the Services,
your participation in any content, guidance, or practice offered through the Services,
any physical, emotional, mental, or financial outcome associated with your use of the Services,
or your reliance on any information provided through the Services.
This release applies except where prohibited by applicable law.
9. No Guarantees
Results vary from person to person. Ethera does not guarantee any specific result, including any emotional, physical, mental, spiritual, relational, financial, or lifestyle outcome.
10. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services.
By using the Services, you represent and warrant that:
you meet the applicable age requirement,
you have not been previously suspended or removed from the Services for violations,
and your use complies with applicable law.
11. Accounts and Security
To access certain features, you may need to create an account. You agree to provide accurate and current information and to keep it updated.
You are responsible for:
maintaining the confidentiality of your login credentials,
all activities that occur under your account,
and notifying us promptly if you suspect unauthorized access or misuse.
12. Subscriptions, Billing, Trials, and Cancellation
Most features require payment for premium access.
If you purchase a subscription, you authorize Ethera or the applicable platform provider to charge the fees and applicable taxes associated with your selected plan.
Subscriptions may renew automatically unless cancelled before renewal. Trial terms, if offered, will be disclosed at the time of sign-up or purchase.
If you subscribed through Apple or Google, billing and cancellation are handled through that platform’s subscription tools and policies. If you subscribed through our website, billing may be handled through our third-party payment processor.
Unless required by law or platform policy, fees are non-refundable.
13. Intellectual Property
The Services, including all audio, text, graphics, images, branding, designs, videos, software, compilations, trademarks, logos, and other materials, are owned by Ethera or its licensors and are protected by intellectual property and other applicable laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use only.
You may not:
copy, distribute, reproduce, republish, sell, license, or exploit any part of the Services,
reverse engineer or attempt to extract source code,
remove proprietary notices,
create derivative works,
or use the Services for commercial purposes without our written permission.
14. User Content
Certain features may allow you to submit or post content, including reviews, testimonials, text, images, audio, video, or similar materials (“User Content”).
You retain ownership of any rights you have in your User Content. However, by submitting User Content through the Services, you grant Ethera a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify for formatting, display, distribute, publish, and use that content as necessary to operate, promote, and improve the Services, including public-facing community or testimonial features you choose to participate in.
You represent and warrant that:
you own or have the rights necessary to provide the User Content,
your User Content does not infringe or violate the rights of any third party,
and your User Content is not unlawful, defamatory, abusive, harassing, obscene, misleading, or otherwise objectionable.
We may remove, reject, review, or moderate User Content at our discretion.
15. Acceptable Use
You agree not to:
use the Services for unlawful purposes,
interfere with or disrupt the Services,
attempt to gain unauthorized access to accounts, systems, or data,
scrape, harvest, or automate access to the Services without permission,
upload malware or harmful code,
harass, abuse, threaten, or harm others,
impersonate another person or misrepresent your affiliation,
or misuse community or public-facing features.
We may suspend or terminate access for violations.
16. Third-Party Services
The Services may integrate with or link to third-party platforms, tools, or services. We are not responsible for third-party products, services, websites, or policies. Your interactions with third parties are governed by their own terms and policies.
17. Privacy
Your use of the Services is also subject to our Privacy Policy, which describes how we collect, use, and share information.
18. Disclaimer of Warranties
To the fullest extent permitted by law, the Services are provided on an “as is” and “as available” basis.
Ethera disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not guarantee that the Services will be uninterrupted, error-free, secure, or free of harmful components.
19. Limitation of Liability
To the fullest extent permitted by law, Ethera LLC and its affiliates, officers, directors, employees, contractors, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of data, profits, revenue, goodwill, or business opportunities, arising out of or related to your use of the Services.
If Ethera is found liable for any claim, Ethera’s total liability will not exceed the greater of:
the amount you paid to Ethera for the Services during the 12 months before the event giving rise to the claim, or
the minimum amount required by applicable law.
Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.
20. Indemnification
You agree to indemnify, defend, and hold harmless Ethera LLC and its affiliates, owners, officers, employees, contractors, agents, successors, and assigns from and against any claims, liabilities, losses, damages, judgments, awards, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
your use of the Services,
your User Content,
your violation of these Terms,
or your violation of any law or third-party rights.
21. Dispute Resolution and Arbitration

Informal Resolution First
Before filing a formal claim, you agree to contact us at support@ethera.online with a short description of the issue and your contact information so we can try to resolve the matter informally.
Binding Arbitration
Except where prohibited by law, you and Ethera agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration, rather than in court, except that either party may bring an eligible claim in small claims court.
Class Action Waiver
You and Ethera agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.
Governing Arbitration Law and Venue
The arbitration will be governed by the Federal Arbitration Act and, unless otherwise required by law, will take place in New York, New York, or in another mutually agreed forum or remote format.
22. Governing Law
Except where preempted by federal law or otherwise required by applicable local law, these Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.
23. Termination
We may suspend, restrict, or terminate your access to the Services at any time if we believe you violated these Terms, misused the Services, created risk for other users, or exposed Ethera to legal or operational harm.
You may stop using the Services at any time.
Sections that by their nature should survive termination will survive, including provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law.
24. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may provide notice through the Services, by email, or by other reasonable means. Your continued use of the Services after updated Terms become effective means you accept the revised Terms.
